1. Scope of Supply

١. نطاق التوريد

(a) The factory undertakes to supply the products in accordance with the agreed technical specifications.

أ) يلتزم المصنع بتوفير المنتجات وفقًا للمواصفات الفنية المتفق عليها.

(b) Order details are specified by the official purchase order or by approved electronic means.

ب) تُحدد تفاصيل الطلب بطلب الشراء الرسمي أو الوسائل الإلكترونية المعتمدة.

(c) The factory is not responsible for any errors in the measurements provided by the customer.

ت) المصنع غير مسؤول عن أي أخطاء في المقاسات المقدمة من العميل.

2. Delivery Time

٢. مدة التوريد

(a) Delivery time for standard specifications is within 15 working days from the date of payment of the first installment, unless the customer is officially notified of a different delivery date.

أ) مدة تسليم المواصفات القياسية خلال 15 يوم عمل من تاريخ دفع الدفعة الأولى، الا إذا ابلغ العميل رسميا بموعد تسليم مختلف.

(b) Delivery time for custom specifications shall be agreed between the parties; days are counted from the date of payment of the first installment or approval of measurements, whichever is later.

ب) مدة تسليم المواصفات الخاصة يتم الاتفاق عليها بين الطرفين، وتحسب الأيام من تاريخ دفع الدفعة الأولى أو اعتماد المقاسات، أيهما كان لاحقًا.

3. Payment

٣. الدفع

(a) The customer pays 50% of the order value upon approval, and the remaining 50% before collection/delivery.

أ) يدفع العميل 50% من قيمة الطلب عند اعتماده، والـ 50% المتبقية قبل الاستلام.

(b) The first payment includes a 10% deposit of the invoice value as earnest money (deposit).

ب) تشتمل الدفعة الأولى على مبلغ 10% من قيمة الفاتورة كعربون.

(c) The customer may cancel the purchase order within five days from the date of order approval and payment of the deposit. If the customer cancels after this period, the factory is entitled to retain the full deposit.

ت) يحق للعميل العدول عن طلب الشراء خلال خمسة أيام من تاريخ اعتماد الطلب ودفع الدفعة المقدمة. إذا عدل العميل بعد هذه المدة، يحق للمصنع الاحتفاظ بمبلغ العربون كاملًا.

(d) If the customer delays collection for ten days from the scheduled delivery date, storage fees of 2% of the order value per week of delay shall apply, not to exceed 40% of the order value.

ث) في حال تأخر العميل عن الاستلام لمدة عشرة أيام من التاريخ المحدد للاستلام، يبدأ تطبيق رسوم تخزين بنسبة 2% من قيمة الطلب لكل أسبوع تأخير، على ألا تتجاوز رسوم التخزين 40% من قيمة الطلب

(e) If the delay exceeds twenty weeks, it shall be considered that the customer has canceled the order; the factory is entitled to retain the deposit and deduct storage fees from the advance payment.

ج)  إذا تجاوز التأخير عشرون أسبوعًا، يُعتبر أن العميل قد عدل عن الطلب، ويحق للمصنع الاحتفاظ بالعربون، بالإضافة إلى خصم قيمة رسوم التخزين من الدفعة المقدمة.

4. Reporting Issues

٤. الإبلاغ عن المشاكل

(a) If the order arrives incomplete, it must be reported within 7 days from the date of invoice issuance; failure to report will be deemed acceptance of the order as complete.

أ) في حال وصول الطلب ناقص، يجب الإبلاغ خلال 7 أيام من تاريخ إصدار الفاتورة، وفي حال عدم الإبلاغ يعتبر ذلك إقرارًا باستلام الطلب كاملاً.

If any of the following issues occur:

في حال وجود أحد المشاكل التالية:

1) Missing protective plastic or cardboard layer

١- عدم وجود طبقة حامية من البلاستيك أو الكرتون،

2) Color discrepancy

٢- اختلاف اللون،

3) Product warping

٣- اعوجاج في المنتج،

4) Scratches on the product

٤- خدوش في المنتج،

5) Breaks or cracks

٥- كسور أو تشققات،

6) Incorrect items delivered

٦- تسليم أصناف بالخطأ،

 The customer must notify the factory within 21 days from the date of invoice issuance; failure to notify will be deemed acceptance of the products in good condition.

يجب على العميل إبلاغ المصنع خلال 21 يومًا من تاريخ إصدار الفاتورة، وفي حال عدم الإبلاغ يعتبر ذلك إقرارًا باستلام المنتجات بحالة سليمة.

5. Warranty

٥. الضمان

(a) A comprehensive 10‑year warranty against manufacturing defects, excluding misuse.

أ) ضمان شامل لمدة 10 سنوات على عيوب التصنيع، مع استثناء سوء الاستخدام.

(b) A 20‑year warranty against water and termite damage, excluding misuse.

ب) ضمان لمدة 20 عامًا ضد الماء والنمل الأبيض، مع استثناء سوء الاستخدام.

(c) The customer is entitled to replacement for defects covered by the warranty.

ت) يحق للعميل الاستبدال في حال العيوب المشمولة بالضمان.

(d) The original invoice or receipt must be presented to replace products covered by the warranty.

ث) يجب احضار أصل الفاتورة او سند الاستلام لاستبدال المنتجات الخاضعة للضمان.

6. Returns and Exchanges

٦. الاستبدال والاسترجاع

(a) The customer may exchange or return the product within 21 days of receipt, provided it is in its original condition.

أ) يمكن للعميل استبدال المنتج أو إرجاعه خلال 21 يومًا من الاستلام بشرط أن يكون بحالته الأصلية.

(b) Custom specifications cannot be exchanged or returned.

ب) المواصفات الخاصة لا يمكن استبدالها او إرجاعها.

(c) During promotional periods, products cannot be exchanged or returned.

ت) في فترة العروض لا يمكن استبدال او إرجاع المنتجات.

(d) The customer bears full shipping costs for returns.

ث) يتحمل العميل كامل تكاليف الشحن عند الإرجاع.

7. Confidentiality

٧. السرية

(a) Both parties undertake to maintain the confidentiality of exchanged technical and commercial information.

أ) يلتزم الطرفان بالحفاظ على سرية المعلومات الفنية والتجارية المتبادلة.

8. Force Majeure

٨. القوة القاهرة

(a) Both parties shall be exempt from liability in the event of emergencies beyond their control.

أ) يُعفى الطرفان من المسؤولية عند وقوع ظروف طارئة خارجة عن الإرادة.

9. Dispute Resolution

٩. حل النزاعات

(a) Disputes shall be resolved amicably within 15 days; if not resolved, they shall be referred to the competent court in Riyadh.

أ) تُحل النزاعات وديًا في مدة 15 يوم، وإن تعذر ذلك تُحال للمحكمة المختصة في الرياض.

10. Governing Law

١٠. القانون الحاكم

(a) This agreement is governed by the laws of the Kingdom of Saudi Arabia.

أ) تخضع هذه الاتفاقية لأنظمة المملكة العربية السعودية.

 By paying the deposit, the customer acknowledges acceptance of these terms and conditions.

بدفع مبلغ العربون، يقر العميل بقبوله لهذه الشروط والأحكام.
